Unaccredited Investor Definition

An unaccredited investor is any investor that does not meet the accredited investor requirements set out by the Securities and Exchange Commission, which are in the SEC’s Regulation D.

These requirements mandate anyone who has a net worth over $1 million (including spouse). In addition to, the individual must have earned more than $200,000 annually ($300,000 with spouse) in the last two years to be an accredited investor.
